ProvPlan Board Refuses to Respond to Questions, PR Statement Riddled With Errors

The cloud of controversy at ProvPlan continues. And, more questions about the Board and its failed management of the embezzlement continues to grow. The Board issued a press release about the organizations' transparency, but the Board and executive refuse to answer any questions, provide audits or respond to document requests.

A full week after the recent Executive Director resigned in a swirl of controversy, following the summer firing of their Finance Director now under investigation by the Rhode Island State Police, Board Chair Dick Spies issued a statement on the ProvPlan website, the first release posted by the nonprofit in over four months. 

Despite promising to move in a "straightforward, transparent manner," repeated requests by GoLocalProv to speak with Spies the day of former Executive Director Pat McGuigan's resignation on September 13 -- and following -- went unanswered, as well as requests to speak with interim Executive Director Jim Berson.

The founder of public relations firm New Harbor Group, David Preston, confirmed on September 13, when he sent a statement out on behalf of ProvPlan, that he had been hired by ProvPlan in July, but refused to divulge the contract or how much he is being paid. Since GoLocal asked to receive a copy of the contract, Preston has refused to respond to any phone calls or emails.

Spies had served as executive vice president for planning and senior adviser to the President of Brown University from 2002 to 2012, and is listed as serving as a senior advisor to Ithaca S+R, which describes itself as a not-for-profit service that helps the academic community navigate economic and technological change.

According to the National Council for Nonprofits, board members are the "fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as making sure the nonprofit has adequate resources to advance its mission."

Spies, who is a former top executive at Princeton and Brown Universities has served as the Chair throughout the period of the embezzlement. The organization has refused to disclose if the Board has gone through training. 

According to the Council of Non Profits:

Boards of directors have a fiduciary duty to ensure that the assets of a charitable nonprofit are used in accordance with donors’ intent, and in support of the charitable mission. One way to ensure prudent financial management is for the board of directors to adopt financial policies. Perhaps the most important financial policy for any charitable nonprofit is a conflict of interest policy.

The 2014 federal tax filing of Providence Plan, the 990 document, has not been filed for public disclosure.  The 2012 and 2013, 990s were prepared by the accounting firm Kahn Litwin Renza & Co LTD.

The statement from Spies, which again comes a full week after McGuigan's resignation, comes nearly two full months after former finance director Charles Denno was fired on July 27.  

The release states that the organization put out a "public statement" on July 29, which is not the organization's website nor was it posted to social media. GoLocal contacted some funders and they were not aware of the embezzlement.
